Deepthena - Terms of Service

1. Acceptance of terms

By accessing Deepthena's websites, proposals, proofs of concept, or delivered platforms you agree to comply with these terms. If you are acting on behalf of a company, you confirm that you have authority to bind that company to this agreement.

2. Scope of services

Engagement scopes are defined in statements of work, proposals, or order forms. Any changes must be agreed in writing. Discovery activities may surface dependencies that adjust scope, timeline, or pricing.

3. Client obligations

You agree to provide timely access to data, subject matter experts, decision makers, and any environments required to deliver the engagement. Delays in access may impact scheduling and fees.

4. Intellectual property

We retain ownership of our methodologies, tools, and frameworks. You retain ownership of your data and any work product specifically developed for your organisation. Joint IP may be addressed in the engagement agreement.

5. Confidentiality

Both parties agree to protect confidential information with the same degree of care they apply to their own confidential information, but no less than reasonable care. This obligation survives termination for three years.

6. Data protection

We process personal data in accordance with our Privacy Policy and applicable data protection laws. You confirm that you have obtained necessary consents for us to process data on your behalf.

7. Limitation of liability

Our liability for any claim arising from these terms or our services is limited to the fees paid for the specific engagement. We exclude liability for indirect, consequential, or special damages to the fullest extent permitted by law.

8. Termination

Either party may terminate for convenience with thirty (30) days' written notice. We may terminate immediately for material breach, insolvency, or if you fail to pay fees. Upon termination, you will pay for services rendered.

9. Governing law

These terms are governed by the laws of the United Arab Emirates, without regard to conflict of law principles. Disputes shall be resolved exclusively in the courts of Dubai, UAE.

10. Changes to terms

We may update these terms from time to time. We will notify you of material changes by email or through our website. Your continued use of our services after such changes constitutes acceptance of the revised terms.
